Terms of Business & Privacy Policy

1. About These Terms
These Terms of Business govern the provision of consultancy services by Delivr Consulting Limited (“Delivr”, “we”, “us”, “our”) to any client that engages us (“you”, “the Client”). By instructing us to provide services, you agree to be bound by these terms unless a separate signed engagement letter or statement of work expressly overrides them.
2. Our Services
Delivr provides programme and portfolio management office (PMO) consultancy, programme governance, assurance, benefits realisation, and AI-enabled delivery support. The specific scope, deliverables, timeline, and fees for any engagement will be set out in a separate proposal, statement of work, or engagement letter, which forms part of the agreement between us.
3. Fees & Payment
- Fees are as set out in the applicable proposal or statement of work, and are exclusive of VAT unless stated otherwise.
- Invoices are payable within 30 days of the invoice date unless otherwise agreed in writing.
- We reserve the right to suspend services for non-payment, having given reasonable written notice.
4. Independence & Conflicts of Interest
We provide independent advice and will disclose any material conflict of interest that arises during an engagement. We do not receive commission, referral fees, or other financial incentives from third-party vendors that could compromise the independence of our recommendations.
5. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other in connection with an engagement, and to use it solely for the purposes of that engagement, except where disclosure is required by law or regulation.
6. Intellectual Property
Unless otherwise agreed in writing, deliverables produced specifically for you as part of an engagement become your property on full payment. Delivr retains ownership of its pre-existing methodologies, frameworks, tools, and any AI models or agents built or adapted as part of our capability layer, and grants you a licence to use outputs generated from them for your internal business purposes.
7. Limitation of Liability
Our liability for any claim arising from an engagement is limited to the fees paid for the specific engagement giving rise to the claim, except in respect of death, personal injury, or fraud, for which liability is not limited. We do not accept liability for indirect or consequential losses.
8. No Reliance by Third Parties
Our advice and deliverables are prepared for the Client's use only, based on the scope agreed for that engagement. We do not accept responsibility to any third party who may rely on our work without our prior written consent.
9. Termination
Either party may terminate an engagement on reasonable written notice as specified in the relevant statement of work. On termination, the Client will pay for all services properly performed and expenses reasonably incurred up to the date of termination.
10. Governing Law
These terms are governed by the law of England and Wales, and the courts of England and Wales will have exclusive jurisdiction over any dispute arising from them.
Privacy Policy
Delivr Consulting Limited is committed to protecting the privacy of anyone who contacts us or engages our services. This policy explains, in general terms, how we handle personal data in line with UK GDPR and the Data Protection Act 2018.
What we collect
- Contact details you provide via our website, email, or in person (name, organisation, email address, phone number).
- Information shared in the course of a consultancy engagement, as agreed in the relevant statement of work.
- Basic website usage data, where analytics tools are in use.
How we use it
We use personal data to respond to enquiries, deliver contracted services, and comply with legal and regulatory obligations. We do not sell personal data to third parties.
Your rights
